Terms and Conditions for Trade Finance India - Export Factoring Services
These Terms and Conditions ("Agreement") govern the use of Trade Finance India's export factoring services ("Services"). By using our Services, you agree to comply with and be bound by these Terms and Conditions. Please read this Agreement carefully before accessing or using our Services.

• Definitions

a. "Trade Finance India," "we," "us," or "our" refers to the trade finance company providing export factoring services.

b. "Exporter" refers to any individual, business, or entity seeking export factoring services through Trade Finance India

c. "Export Factoring Companies" refers to the partner factoring companies collaborating with Trade Finance India to provide export factoring solutions to the Exporters.


d. "Services" refer to the export factoring services provided by Trade Finance India as a middleman connecting Exporters with Export Factoring Companies.

• Eligibility


Exporters must be legally capable of entering into contracts as per the applicable laws of their jurisdiction to use our Services.


• Services Overview


a. Trade Finance India acts solely as a middleman and does not provide any financial funding directly to Exporters.


b. Our role is to connect Exporters with suitable Export Factoring Companies based on their requirements.


c. Exporters must provide accurate and complete information about their business and factoring needs to facilitate the matching process.

• No Financial Liability


Trade Finance India assumes no financial liability towards Exporters or Export Factoring Companies. We are not responsible for any financial transactions between the Exporters and Export Factoring Companies.


• Information Accuracy


Exporters are responsible for providing accurate and up-to-date information about their business and financial status. Trade Finance India relies on this information for the matching process.


• Partner Export Factoring Companies


a. Trade Finance India partners with various Export Factoring Companies, and their selection is at our sole discretion.


b. Exporters will be matched with Export Factoring Companies based on factors like location, industry, creditworthiness, and other relevant criteria.

• Confidentiality


a. Trade Finance India will treat all information provided by Exporters with strict confidentiality.


b. We will share Exporters' information with Export Factoring Companies solely for the purpose of facilitating the matching process.


• Limitation of Liability


Trade Finance India shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from the use of our Services.

• Modification of Services


a. Trade Finance India reserves the right to modify, suspend, or terminate any part of the Services at any time.


b. We may also update or modify these Terms and Conditions. Exporters will be notified of any changes, and continued use of the Services after the modifications will constitute acceptance of the revised terms.


• Governing Law


These Terms and Conditions shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of laws principles.


• Dispute Resolution


Any disputes arising from or related to this Agreement shall be resolved amicably through good-faith negotiations. If a resolution cannot be reached, the parties agree to submit to the exclusive jurisdiction of the courts in [Jurisdiction].


• Entire Agreement


This Agreement constitutes the entire understanding between Trade Finance India and the Exporter concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, whether oral or written.

 

• Indemnification


Exporters agree to indemnify and hold Trade Finance India, its officers, directors, employees, and affiliates harmless from any claims, damages, liabilities, or expenses (including reasonable legal fees) arising out of or related to their use of the Services or any breach of these Terms and Conditions.


• Non-Circumvention


Exporters shall not attempt to circumvent or bypass Trade Finance India in any way to directly engage with Export Factoring Companies introduced through our Services. Any such action will be considered a violation of these Terms and may result in the termination of access to our Services.


• Third-Party Websites and Services


Our Services may contain links to third-party websites or services. Trade Finance India is not responsible for the content, privacy policies, or practices of such third parties. Exporters access these third-party websites at their own risk and should review their respective terms and conditions.


• Intellectual Property


All content and materials on the Trade Finance India website and Services, including but not limited to text, graphics, logos, button icons, images, audio clips, and software, are the property of Trade Finance India or its licensors and are protected by applicable copyright, trademark, or other intellectual property laws. Exporters may not use, copy, modify, or distribute any of these materials without prior written consent from Trade Finance India.

• Termination


Trade Finance India reserves the right to terminate or suspend an Exporter's access to the Services at any time, with or without cause, and without prior notice. Upon termination, all provisions of these Terms and Conditions that would reasonably be expected to survive termination shall remain in full force and effect.

• Severability


If any provision of these Terms and Conditions is held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.

• Waiver


The failure of Trade Finance India to enforce any right or provision of these Terms and Conditions shall not be deemed a waiver of such right or provision.

• Assignment


Exporters may not assign or transfer their rights or obligations under this Agreement without the prior written consent of Trade Finance India. Trade Finance India may freely assign or transfer its rights and obligations under this Agreement without restriction.

• Survival


Any terms that, by their nature, should survive termination or expiration of this Agreement shall continue to remain in effect, including but not limited to the confidentiality, indemnification, and governing law provisions.

• Compliance with Export Regulations


Exporters using Trade Finance India's Services agree to comply with all applicable export control and trade regulations of their respective countries and the countries to which they export their goods. Exporters are solely responsible for ensuring that their trade activities are in full compliance with all relevant laws, regulations, and sanctions.

• Data Privacy


Trade Finance India values the privacy and security of Exporters' information. We collect, use, and store personal information in accordance with our Privacy Policy. By using our Services, Exporters consent to the collection, use, and storage of their information as outlined in the Privacy Policy.

• Communication


Trade Finance India may communicate with Exporters through various channels, including email, phone, or through the Services' platform. Exporters consent to receive such communications and acknowledge that they are essential for the proper functioning of the Services.

• Force Majeure


Trade Finance India shall not be liable for any delay or failure to perform any obligation under this Agreement if the delay or failure is due to events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or technical malfunctions.

• Business Relationships


Exporters acknowledge that the relationship between Trade Finance India and Exporters is limited to the provision of Services described in this Agreement. Nothing in this Agreement shall be construed as creating a partnership, joint venture, agency, or employment relationship between the parties.

• Insurance


Exporters are responsible for maintaining appropriate insurance coverage for their business operations, and Trade Finance India does not provide any insurance coverage to Exporters.

• Feedback and Testimonials


Exporters may provide feedback or testimonials about their experience with Trade Finance India's Services. By doing so, Exporters grant Trade Finance India the right to use, reproduce, and display such feedback or testimonials for marketing and promotional purposes.

• Interpretation


The headings and section numbers in this Agreement are for convenience and reference purposes only and shall not be used in interpreting this Agreement.

 

By continuing to use Trade Finance India's Services, Exporters affirm that they have read and understood these additional Terms and Conditions, and agree to abide by them while using the Services. These Terms and Conditions are subject to change from time to time, and Exporters will be notified of any material changes. It is the responsibility of Exporters to regularly review the most up-to-date version of these Terms and Conditions.
